Terms of Service.

These Terms of Service (“Terms”) govern the relationship between Neveitalia Furniture Co., Ltd. (“Neveitalia,” “we,” “us”) and any person or entity (“Buyer,” “you”) that uses neveitaliafurniture.com or its staging preview, submits an inquiry, or places an OEM/ODM order for upholstered furniture and related products.

01Acceptance

By submitting an inquiry through our contact form, signing a quotation, or paying a sample invoice, you confirm that you have read, understood, and agreed to these Terms. If you are acting on behalf of a company, you represent that you have authority to bind that company.

02Inquiries and quotations

Inquiries submitted through this site are non-binding. Neveitalia aims to respond within one business day, with a project evaluation returned within 24-48 hours. Quotations are valid for 30 days from the date issued, unless marked otherwise. Prices are in USD, FOB Foshan/Shenzhen, exclusive of duties, freight, and destination-market taxes.

03Samples and prototyping

• 3D prototype – approximately 7 days, structural validation only.
• Pre-Production Sample (approved sample) – 12-15 days, with your Pantone colors and logo.
• Sample fee – payable via PayPal; refundable against a first mass-production order of 1,000+ pcs.
• Freight – borne by Buyer for all sample shipments.

Sample images shared by Neveitalia remain our copyright unless otherwise agreed in writing.

04Orders, MOQ, and lead times

• Standard MOQ: 300 pcs per model per color.
• Below-MOQ orders are accepted with a 10% unit-price adjustment to cover machine setup.
• Mass production: 20-25 days for first orders after approved sample approval; 15-20 days for repeat orders.
• Capacity: 80,000-100,000 pcs monthly across two manufacturing bases.

Lead times begin on the later of: deposit receipt, approved sample approval, or final artwork confirmation.

05Payment terms

Standard orders: 30% deposit on order confirmation, 70% balance before shipment. Sample fees can be paid by PayPal. Mass orders are paid by bank transfer (T/T) in USD. All transactions carry the invoice currency; Buyer absorbs bank and FX fees on their side.

06Shipping and risk of loss

Default terms are FOB Foshan/Shenzhen. Risk of loss and title pass to Buyer when goods are handed to the nominated forwarder. Buyer is responsible for export documentation, destination customs clearance, product registration, and import duties. Neveitalia provides ISO 9001/BS 5852/CAL 117 documentation, commercial invoice, packing list, and certificate copies with every carton.

07Quality and inspection

Every unit is 100% inspected before shipment – not a random AQL draw – against EN166 / EN167 / EN174 (EU), GB14866 (CN), and, where applicable, FDA 21 CFR 801.410. Drop-ball, UV-transmission, and hinge-cycle tests are run on every batch. Buyer may appoint a third-party inspector at Buyer’s cost, provided notice is given at least 5 business days before shipment.

08Intellectual property

Neveitalia holds proprietary manufacturing processes and design capabilities. Catalog models may be produced with Buyer’s branding under a standard OEM agreement. Where Buyer supplies its own design, Neveitalia will sign an NDA before any design discussion and will not reuse Buyer’s tooling, artwork, or fabric specifications for any third party. Buyer is solely responsible for ensuring that its branding does not infringe third-party rights in its target markets.

09Warranties and limitation of liability

Neveitalia warrants that mass-produced goods will materially conform to the approved sample and the test standards cited in section 7. Liability for any claim is limited to the invoice value of the affected goods. Neveitalia is not liable for consequential, incidental, or lost-profit damages. Buyer must notify Neveitalia of any quality claim within 30 days of arrival, with photographs and batch numbers, for evaluation.

10Termination

Either party may terminate an open quotation with written notice. Orders already in production may only be cancelled with mutual written agreement and reasonable compensation for work-in-progress, custom tooling, and raw materials already purchased.

11Governing law and disputes

These Terms are governed by the laws of the People’s Republic of China, excluding its conflict-of-laws rules. Parties agree to attempt good-faith negotiation for 30 days before referring any dispute to the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou. The language of arbitration is English unless both parties agree otherwise.
